Terms of business

These terms apply to the recruitment services Pontra provides to employers (“the Client”). Pontra is operated by [legal entity name], [registered address]. By asking Pontra to work on a role, the Client accepts these terms unless a separate written agreement says otherwise.

1. Introductions

A candidate is “introduced” when Pontra shares their identity or profile with the Client. Pontra only introduces candidates who have agreed to it. The Client keeps candidate information confidential and uses it only to assess the candidate for the role.

2. Fees

• No retainer. Nothing is payable to start a search.
• €10,000 per successful placement, excluding VAT, for each introduced candidate the Client hires — as an employee, contractor or through a third party — within [12 months] of the introduction.
• The fee is due when the candidate [accepts an offer / starts work]. Invoices are payable within [30 days].
• No hire, no fee. If the Client does not hire an introduced candidate, nothing is owed.
• No exclusivity. The Client remains free to use other channels.

3. 60-day replacement guarantee

If a placed candidate leaves, or their engagement is ended, within 60 days of their start date, Pontra will search for a replacement for the same role at no additional fee, provided that:

• the placement invoice was paid on time;
• the Client informs Pontra within [7 days] of the departure;
• the departure is not due to redundancy, a material change to the role, or a breach by the Client of its own obligations.

The guarantee is a replacement search, not a refund.

4. Assessments

Pontra assesses each candidate's technical capability with care and states explicitly what is verified, transferable, trainable or missing. The hiring decision, right-to-work checks and employment terms remain the Client's responsibility.

5. Liability

To the extent permitted by law, Pontra's total liability for any placement is limited to the fee paid for it. Pontra is not liable for indirect or consequential losses.

6. Data protection

Each party complies with applicable data protection law, including the GDPR, for the candidate data it handles. See our privacy policy.

7. Engineers

Pontra's services are free for engineers. Engineers are never charged a fee.

8. Governing law

These terms are governed by the laws of [country]. Disputes fall under the courts of [city].
